PayBot Terms of Service - Discord Bot Usage Agreement & Legal Terms

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of PayBot's services, including our Discord bot, website, and other products and services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms and our Privacy Policy. If you don't agree to these Terms, you may not use our Services.
2. Description of Services
PayBot is a Discord bot that enables server owners to set up and manage paid memberships for their communities using Stripe as the payment processor. Our Services include:
- Integration with Discord for role management
- Integration with Stripe for payment processing
- Automated subscription management
- Member analytics and reporting tools
PayBot is designed to operate with minimal data access. We do not read or store the content of user messages or voice communications, and we do not rely on detailed presence (activity) data to provide our core subscription and role-management functionality.
3. User Accounts and Responsibilities
3.1 Server Owner Accounts
To use PayBot as a server owner, you must:
- Be at least 18 years old
- Have administrative privileges on your Discord server
- Create and maintain a Stripe account in good standing
- Provide accurate and complete information during the setup process
- Maintain the security of your Discord and Stripe accounts
3.2 Your Responsibilities
You are responsible for:
- Compliance with these Terms and all applicable laws and regulations
- Compliance with Discord's Terms of Service and Community Guidelines
- Compliance with Stripe's Services Agreement and Connected Account Agreement
- Obtaining all necessary rights and permissions to offer paid memberships
- Your interactions with members and the content you provide to them
- Handling customer service inquiries from your members
- Properly managing your tax obligations
4. Payment Terms
4.1 Stripe Integration
PayBot uses Stripe Connect to process payments. We do not process payments on your behalf. When a member subscribes to your server, they enter into a direct payment relationship with you through Stripe. As a server owner, you acknowledge and agree that:
- You are responsible for complying with Stripe's terms of service
- You are responsible for handling refunds, chargebacks, and disputes
- PayBot does not take platform fees from your Stripe transactions for its own revenue
- If you enable Revenue Sharing with a Community Manager, PayBot will collect the designated percentage as an application fee and transfer it to your designated manager's Stripe account
- PayBot is not responsible for payment failures, delays, or other issues with Stripe's services
4.2 Automated Corrections
To maintain the integrity of the Services and protect the standing of Connected Accounts, PayBot reserves the right (but is not obligated) to detect and correct technical errors. This includes the authority to automatically cancel duplicate subscriptions and initiate refunds for duplicate charges caused by system errors or technical anomalies on your behalf, without prior notice. These actions are taken to proactively resolve billing issues, minimize the risk of chargebacks and disputes, and ensure compliance with payment processor guidelines.
4.3 PayBot Subscription
PayBot offers different subscription tiers for server owners. The features, limitations, and pricing for each tier are described on our website and are subject to change. By subscribing to PayBot, you agree to pay the applicable fees as described on our pricing page.
4.4 Revenue Sharing
PayBot offers an optional Revenue Sharing feature that allows server owners to share a percentage of subscription revenue with designated Community Managers. This feature functions similarly to automated payroll, where managers receive a portion of each subscription payment. When enabled:
- You designate one or more Community Managers and specify each manager's revenue share percentage (up to 50% total across all managers)
- Each Community Manager must create a Stripe Express account and complete Stripe's identity verification to receive payments
- PayBot collects the total specified percentage as an application fee from each subscription payment
- PayBot automatically transfers the collected fees to each Community Manager's Stripe Express account proportionally
- You can add, remove, or modify manager percentages at any time; changes apply to future subscription payments
- You retain complete control over Revenue Sharing and can disable it entirely at any time
- You are solely responsible for any tax implications of payments made to your Community Managers, including but not limited to 1099 reporting obligations in the United States
- Community Managers are responsible for their own tax obligations on income received through Revenue Sharing
- PayBot is not a party to any employment, contractor, or other agreement between you and your Community Managers regarding compensation, duties, responsibilities, or working arrangements
- PayBot does not guarantee the availability or timeliness of transfers to Community Managers and is not liable for any delays, failures, or errors in the transfer process
- Stripe's terms of service and Connected Account Agreement apply to all Community Managers who receive payments through Revenue Sharing
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Engage in fraudulent, deceptive, or misleading activities
- Distribute malware, viruses, or harmful code
- Interfere with or disrupt the Services or servers connected to the Services
- Collect or harvest user data without appropriate consent
- Promote or facilitate illegal or harmful activities
- Engage in activities that violate Discord's or Stripe's terms of service
6. Intellectual Property Rights
6.1 Our Rights
The Services, including all content, features, and functionality, are owned by PayBot and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Services or our content.
6.2 Your Content
You retain all rights to any content you create, upload, or share through the Services. By using our Services, you grant us a non-exclusive, royalty-free license to use, store, and display your content solely to provide and improve our Services.
7. Limitation of Liability
To the maximum extent permitted by law, PayBot and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
- Issues with Discord, Stripe, or other third-party services
In no event will our aggregate liability exceed the amount you paid us, if any, in the past twelve months.
8. Indemnification
You agree to indemnify, defend, and hold harmless PayBot and its officers, directors, employees, agents, and affiliates from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
9. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
10. Modifications to the Terms
We may modify these Terms at any time. If we make changes, we will provide notice by updating the date at the top of these Terms and, in some cases, we may provide additional notice. Your continued use of the Services after the changes have been made will constitute your acceptance of the changes.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PAYBOT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the [Jurisdiction], without regard to its conflict of law provisions.
13. Dispute Resolution
Any dispute arising from or relating to the subject matter of these Terms shall be resolved through binding arbitration in [Location] under the rules of the [Arbitration Association]. The decision of the arbitrators shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by PayBot on the Services, shall constitute the entire agreement between you and PayBot concerning the Services.
